We offer a simple marketing system. We send you the pre-paid CD/DVD orders via PayPal as we receive them. You get all the money via PayPal with the order and we keep a flat 33% commission. You set the price and shipping fee.

Why 33%? ...It's The Bare Minimum
Traditional distributors tie up $1000's of your inventory at wholesale on terms. Then they add 40% to wholesale. Retailers add another 50% to the distributor price to get retail pricing. We serve as both distributor and retailer saving you more than our 33%. We don't tie up $1000's in unpaid inventory. Beside processing orders, we promote and market your CD/DVD for our 33%. We also pay sales commission to other online retailers like Amazon, Ebay and others out of our 33% share of retail.

We require 5-copies of your CD/DVD which are used to generate sales graphics, get your CD reviewed online and databased. 1 will be kept for our archives, 2 may be used for promotional purposes (given as prizes to web site visitors) and the other 2 are used as backup inventory should you be unable to ship for some reason. We also require a $20 Marketing Prep Fee for each CD/DVD title to be submitted with the 5 CD's. This covers a small part of the cost of databasing, audio sample creation, graphics and adding your CD/DVD to our marketing sites.

Wholesale Sales: We will also try to generate bulk 10-CD case lot orders with music stores, retailers and venues. We recommend that you provide a wholesale price for case sales which improves your distribution. We take a 20% commission on bulk case wholesale sales.

SALES AND MARKETING AGREEMENT

This Sales Agreement (this "Agreement") is made effective upon receipt of this submitted agreement between the submitting party, the "Publisher" a copyright holder and Don Lokke, dba Century Recording, Lokke Advertising, World Entertainment Network and associated web sites, the "Seller".

RIGHTS GRANTED
Publisher as the sole owner(s) of all rights in and to the CD/DVD submitted, hereby grants unlimited, non-exclusive broadcast, narrowcast and podcasting rights as may be needed to Don Lokke Jr DBA Century Recording, an internet audio/video marketing firm for the purpose of selling the CD/DVD descripbed above, royalty free. Publisher understands and agrees Publisher will not receive compensation for appearances on and participation in the CD/DVD, it's broadcast or podcast from Don Lokke Jr DBA Century Recording.

SALES COMMISSION
In this "Agreement", "the Publisher" is engaging the "Seller" to market 
and sell a CD, or DVD on a non-exclusice basis to the general public and wholesale purchasers. "Publisher agrees that "Seller" shall retain a sales commission of 33% per CD sold at the agreed Retail price, 20% per CD sold at the agreed wholesale price and quantity.

MARKETING PREP FEE
"Publisher" agrees to pay "Seller" a one-time $20 setup fee per submitted CD Title to cover database entry, graphics prep and coding for marketing.

PRODUCT SUBMISSION REQUIREMENTS
"Publisher" further agrees to send 5-promotional copies of the CD/DVD to be used to create 30-second promotional samples, for editorial reviews, for promotional/marketing purposes. Two CD/DVD's will be reserved to insure a Reserve Inventory 
to be used only in the event of "Publisher's" inability to make timely delivery to "Seller's" customer. The decision to use the Reserve Inventory shall be the "Seller's". Should the CD Reserve Inventory be exhausted as a result of "Publisher's" non-performance, CD sales will be suspended until the Reserve Inventory is replenished at "Publisher's" expense.

SELLER MARKETING
"Seller" agrees to advertise and market "Publisher's" products in a wide range of sales venues to be determined by "Seller". "Seller" will generate any necessary product graphics, audio or video clips and create a publicly accessible web based product sales listing for each Product upon receipt of product samples as required in this Agreement.

PRODUCT PRICING 
Product will be offered to both retail consumers and wholesale buyers. Retail, and Wholesale price points must be specified. Pricing will be determined by pricing recommendations provided by the "Publisher". "Seller" may require pricing to conform to established pricing standards of "Seller".

MARKETING SUPPORT 
"Seller" further reserves the right to excerpt up to 2 minutes of audio or video per track for promotional use, write product reviews and descriptions in furtherance of sales and issue news releases as sales and marketing support for Products. Any additional marketing services desired by the "Publisher" will be the responsibility of the "Publisher".

PRODUCT DELIVERY AND AVAILABILITY 
"Publisher" shall be responsible for timely Product delivery to the retail customer and will ship Product under the name of "Seller" . "Publisher" further warranties that "Publisher" will maintain adequate inventory and ship all Product orders within three business days (3-days) of payment. "Publisher" will email a shipping notification containing, shipping date and carrier 
for each order to both the customer and "Seller".

PAYMENT. Product orders will be accepted on behalf of "Publisher" by "Seller". Each Product order will generate an email notification directed to the "Publisher" and be accompanied by payment to the "Publisher" of the agreed upon Price to "Seller" plus the shipping fee stated below via PayPal or other agreed upon online payment service prior to shipping.

REFUNDS. "Seller" offers a 15-day Satisfaction Warranty on all Products sold. Warranty provides for replacement or refund of the purchase price upon return of Product at consumer's expense. Refunds will be issued as a last resort within 30 days of purchase. When a purchaser requests a refund, "Seller" will first contact the "Publisher" by email with the refund request information to allow the "Publisher" the opportunity to resolve the issues directly with the purchaser. "Seller" will only issue a refund when a) instructed to do so by the "Publisher" within 30 days of purchase or 
b) the product is defective and can not be replaced by the "Publisher" c) "Publisher" fails to 
deliver Product within 15 days of the purchase. An amount equal to the original amount paid to 
the "Publisher" for a refunded sale plus a $2 refund processing fee will be debited from any funds 
due the Publisher.

RECORDS. "Seller" will rely upon accurate records provided by PayPal or other payment service 
for all sales reporting requirements. Individually identifiable information from each sale is 
provided to the "Publisher" for shipping purposes only. "Publisher" recognizes that all customer 
information provided to "Publisher" is the proprietary property of "Seller" and "Publisher" is 
NOT to redistribute this information to any third party for any purposes whatsoever. "Publisher" 
is prohibited by this Agreement from directly or indirectly marketing additional Product(s) to 
"Seller's" customers in a manor that would circumvent or compete with "Seller" for additional 
sales to said customers.

OWNERSHIP. The "Publisher" warrants that it owns and possesses all rights and interests in the Products necessary to enter into this Agreement, and shall indemnify, defend and hold "Seller", its agents and employees, harmless from any loss, damage or liability for infringement of any U.S. patent right or copyright or other property right with respect to the use of the Products described hereunder; provided, that "Seller" permits the "Publisher" to defend, compromise, or settle said claim or infringement and gives the "Publisher" all available information, assistance and authority to enable the "Publisher" to do so.

TRANSFER OF RIGHTS. This Agreement shall be binding on any successors of the parties. Either party shall have the right to assign its interests in this Agreement to any other party, upon the prior written consent of the other party.

TERMINATION. This agreement shall remain in force for a period of no less than two years after which it may be terminated without cause by either party providing 60-days written notice to the 
other party.

ENTIRE AGREEMENT. This Agreement and the included Product/Price recommendations contain the 
entire agreement of the parties and there are no other promises or conditions in any other agreement 
whether oral or written. This Agreement supersedes any prior written or oral agreements between 
the parties. "Seller" reserves the right to refuse to sell or represent Products for any reason.

APPLICABLE LAW. This Agreement shall be governed by the laws of the State of Texas.

LIMITATION OF LIABILITY. "Seller" shall not be liable for any direct, indirect, special, incidental, royalties, fees or consequential damages, whether based on contract, tort or any other legal theory, arising out of any use of the Products or any performance of this Agreement. Notwithstanding any other provision of this Agreement, "Seller's" liabilities under this Agreement, whether under contract law, tort law, warranty or otherwise, shall be limited to direct damages not to exceed the amounts actually received by "Seller" from the "Publisher" pursuant to this Agreement. No action, regardless of form, arising out of any transaction under this Agreement may be brought by either party more than one year after the injured party has actual knowledge of the occurrence which gives rise to the cause of such action.
